These Vendor Terms outline the key requirements, responsibilities, and operational policies for businesses listing products or services on the Opsando Marketplace. By registering as a vendor, you agree to these terms in full.

1. Vendor Registration

  • All vendors must submit valid identification and a Taxpayer Identification Number (TPIN).
  • Vendors must choose from the available plans: Free, Basic, or Premium.
  • Know Your Customer (KYC) verification is mandatory before activation.

2. Commission Structure

  • Essentials Plan: 17% commission per transaction. Free plan with no subscription fees.
  • Grow Plan: 15% commission per transaction. Plus an additional $240/year subscription fee.
  • Enterprise Plan: 11% commission per transaction. Plus an additional $300/year subscription fee
  • Commission rates may change with 30 days’ prior notice.

3. Product Listings

  • Listings must have accurate product names, categories, prices, and brands.
  • Misleading, fake, or prohibited listings will be removed without notice.

4. Ownership & Content

  • Vendors retain ownership of product content but grant Opsando a non-exclusive global licence to display and market it.

5. Micro-Shop Management

  • Vendors must keep their micro-shop details updated.
  • Prompt responses to customer queries are required.

6. Order Fulfilment & Dispatch

  • Orders must be processed and dispatched within 24 hours.
  • Tracking information must be provided within 4 hours of shipment.
  • Delays may lead to penalties, strikes, or account suspension.

7. Shipping Options

Vendors have access to multiple delivery methods:

  • Standard Delivery: Nationwide courier with automated rates.
  • Yango Delivery: Customer pays the driver directly.
  • Custom Delivery: Such as Free Lusaka Delivery (0–1 day delivery).
  • Opsando is not liable for third-party delivery arrangements.

8. Returns & Refunds

  • Vendors are responsible for returns on defective or incorrect items.
  • Return shipping costs are covered by the vendor unless otherwise agreed.
  • Refunds for used items are issued as Opsando Gift Cards or product replacements.

9. Inventory Management

  • Vendors must update stock every 48 hours.
  • Out-of-stock items must be marked unavailable immediately.
  • Inactivity over 72 hours may result in account suspension.

10. Listing Standards

  • Product titles must be clear and professional.
  • Each variation must have a unique SKU.
  • Images must be high-resolution with no watermarks or promo overlays.

11. Suspension & Reinstatement

  • Reinstatement fees:
    • First Suspension: K1,000 or 5% of last month’s sales.
    • Repeat Suspensions: K5,000 or 10% of last month’s sales.
  • Vendors must submit a Corrective Action Plan and pass a compliance review.

12. Prohibited Activities

Vendors may not engage in:

  • Listing counterfeit, illegal, or hazardous goods.
  • Fake reviews, fee circumvention, or multiple unapproved accounts.
  • Price manipulation or false advertising.

13. Warranty Disclaimer

  • Vendors are solely responsible for any product warranties offered.
  • Opsando does not enforce or mediate warranty claims.

14. Termination

Opsando may suspend or permanently terminate a vendor account for:

  • Policy breaches
  • Repeated non-fulfilment
  • Fraudulent or unethical conduct
