Overview

Welcome to Opsando.com. In these Terms of Service (these "Terms"), "we", "us", "our" and "Opsando" refer to Monde Group AS [confirm exact legal entity name and Norwegian organisation number — placeholder], a company incorporated in Norway with its registered office at 5550 Hinderlivegen, Sveio, Norway ("Monde Group").

Your contract of sale is always with Monde Group, which is the seller of record for every order placed through the Services, in every market. Certain local operations are carried out through Monde Group's group companies in the relevant market — see the dedicated market section near the end of these Terms for details where that applies to you.

Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms, together with the policies they incorporate (the "Policies"), describe your rights and responsibilities when you use the Services. By visiting, interacting with or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

1. Our business model

Opsando.com operates two storefront experiences. Which one applies to you depends on your delivery/business location.

International storefront (B2B only). By default, the Services are available to businesses only. We do not sell to individual consumers on the International storefront. To purchase, you must apply for and be approved for a B2B account (clause 3). Product categories are limited to refurbished/used electronics, heavy duty machinery and brand cosmetics, exported from our sourcing operations.

Local storefronts. In certain markets, we also operate a local storefront with different rules, including open consumer access. This currently includes our Zambia storefront, and we may add further local storefronts in future — see the dedicated section near the end of these Terms for full details.

2. Access and accounts

You must be at least 18 years old to use the Services, open an account, or make a purchase. By using the Services you confirm that you meet this requirement, and, where purchasing on behalf of a business, that you are authorised to bind that business.

You must provide accurate, current and complete information, including name, business details (where applicable), email address, and billing, payment, delivery or collection details. You are responsible for keeping your account credentials secure and for all activity under your account. You may not transfer, sell, assign or license your account to anyone else.

3. B2B accounts

3.1 Where a B2B account is required

A B2B account is mandatory to purchase from the International storefront (clause 1). Requirements for our local storefronts (currently Zambia) are set out in the dedicated section near the end of these Terms.

3.2 Applying for a B2B account

To apply, you must provide business identification information reasonably requested by us, which may include: business registration/incorporation documents, tax identification number, business address, authorised contact details, and information about your intended use of purchased goods (e.g., resale, own use, further processing). We may verify this information, request additional documentation, and decline or revoke B2B account status at our discretion, including where we cannot reasonably verify your business status.

3.3 B2B account terms

By holding or using a B2B account, you confirm that: purchases are made for your business's own use, resale, or further commercial purposes, and not as a consumer; you are not a "consumer" for the purposes of consumer protection law in respect of B2B purchases, to the extent permitted by applicable law; and you will comply with all import, export and product safety laws applicable to your business and jurisdiction. Wholesale pricing, minimum order quantities and payment terms offered to B2B accounts may vary and are set out at checkout or in a separate order confirmation.

4. Our products

We make every effort to represent our products accurately, but colours, dimensions and appearance may differ from how they appear on your screen. All product descriptions are subject to change without notice, and we may discontinue any product or limit quantities offered to any person, region or jurisdiction.

Product sourcing. We source new, used and refurbished electronics and heavy duty machinery, and new, sealed brand cosmetics — including flagship brands such as Rituals — from retailers, private individuals, and online platforms and marketplaces, principally through our operations in Norway, and export them internationally. For brand cosmetics, we often source directly from the official manufacturer or brand owner, but may in some cases source from reliable third-party retailers. We inspect products to assess authenticity and condition prior to sale, and may refurbish, repair, clean, test or replace components on electronics and machinery to bring them to a sale-ready standard.

Brand authorisation disclaimer. We are not an authorised retailer, reseller or representative of, and are not affiliated with, Apple Inc., Google LLC, Rituals Cosmetics or other cosmetics brands we sell. References to Apple products (including iPhone and Mac), Google products (including Pixel), and cosmetics brands (including Rituals) are for identification only, and all related trademarks remain the property of their respective owners.

Product authenticity disclaimer. For cosmetics, we make reasonable efforts to verify authenticity, including through packaging, batch codes and supplier documentation where available, but do not guarantee manufacturer-standard verification in every case. For electronics, we make reasonable efforts to inspect products, including cross-checking serial numbers and identifiers, but likewise do not guarantee manufacturer-standard verification in every case.

Condition, warranty and return terms differ between the International storefront and our local storefronts — see clause 6 and the dedicated section near the end of these Terms.

5. Prices and billing

Prices, discounts and wholesale terms may change without notice and may differ by market, account type, and currency. The price charged is the price in effect when the order is placed, as shown in your order confirmation. Posted prices do not include taxes, duties, shipping, handling, customs or import charges unless stated otherwise.

You agree to provide accurate payment information and confirm you are authorised to use the payment method provided.

Store credit. We may issue store credit as a refund or goodwill remedy. Store credit is non-refundable and non-transferable — it cannot be exchanged for cash except where required by applicable consumer law — but can be used toward future purchases.

6. International sales, export compliance and customs

This clause applies to all International storefront orders.

Sale is final. International orders are inspected before export and sold on an as-inspected, as-described basis. Monde Group is registered and operates as an export business, and is not registered or set up to accept goods back into the country of origin as imports. Combined with the cost, time, and customs involved in reversing a cross-border shipment, this means International sales are final once dispatched, save for any non-excludable right you may have under mandatory law that cannot be lawfully excluded. We strongly encourage you to review listing details, condition reports, photographs, and (where offered) request additional inspection or documentation before placing your order.

Export and import compliance. You are responsible for:

  • obtaining any import licences, permits, or approvals required in your destination country for electronics, machinery or brand cosmetics, including any health, safety or customs certification (such as ingredient disclosure, batch/expiry documentation, or cosmetic product registration) required for cosmetics in your destination country;
  • paying all customs duties, import taxes, VAT and clearance fees applicable in your destination country, unless we expressly agree in writing to a Delivered Duty Paid (DDP) arrangement;
  • complying with all applicable export control and sanctions laws, including confirming that you, your business, and your destination are not subject to Norwegian, EU, UN or other applicable trade sanctions or embargoes.

We may decline, cancel, or delay any order where we reasonably believe it would breach export control, sanctions, or import law.

Incoterms. Unless a specific Incoterm is agreed in writing for your order, International orders are shipped FOB (Free on Board) from our port or warehouse of origin — see our Shipping & Delivery Policy for what this means for risk and cost allocation.

Your purchases must be for your own business use or resale, and not for unlawful re-export, unless we agree otherwise in writing.

7. Shipping and delivery

Shipping, delivery, collection, and risk-of-loss terms are set out in our Shipping & Delivery Policy, which forms part of these Terms.

8. Intellectual property

The Services, including all trademarks, text, images, graphics and their design, are owned by Monde Group, its group companies or licensors, and are protected by Norwegian and other applicable intellectual property laws. These Terms permit personal or authorised business use of the Services only. You must not reproduce, distribute, modify, publicly display, republish or otherwise exploit any material on the Services without our prior written consent.

9. Optional tools and third-party links

We may provide access to third-party tools or links that we do not control. These are provided "as is" without warranty, and use is at your own risk.

10. Relationship with Shopify

Opsando.com is powered by Shopify. Any sale is made directly between you and Monde Group. Shopify is not responsible for any aspect of that sale, and you release Shopify from claims arising from your transactions with us.

11. Privacy

Personal information is handled in accordance with our Privacy Policy. Because we are headquartered in Norway (a European Economic Area member state) and the Services are hosted by Shopify, your information may be processed in Norway, the EEA, and other countries as described in our Privacy Policy.

12. Feedback

If you submit ideas, reviews, or suggestions ("Feedback"), you grant us a perpetual, worldwide, royalty-free licence to use, reproduce and publish it for any purpose, including commercially. You confirm you have the rights to provide it, and that it is lawful and non-infringing.

13. Prohibited uses

You may use the Services for lawful purposes only. You must not use the Services to violate any law, infringe intellectual property, harass or defame others, transmit false information, send spam, impersonate any person or entity, upload malicious code, scrape or crawl the Services without permission, or attempt to circumvent our security. We may suspend, disable or terminate accounts that breach these Terms, including B2B accounts that misuse wholesale pricing or fail export/import compliance obligations.

14. Termination

We may terminate this agreement or your access to the Services at our discretion, and you remain liable for amounts due up to termination. Clauses that by their nature should survive termination (including Intellectual property, Feedback, Disclaimer of warranties, Limitation of liability, Indemnification, Governing law, Local storefronts, and Privacy) survive.

15. Disclaimer of warranties

Except as expressly stated elsewhere in these Terms, the Services and products offered are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, quality, fitness for a particular purpose, and non-infringement. We do not warrant the Services will be uninterrupted, timely, secure or error-free. Nothing here excludes or limits your non-excludable rights under applicable law.

16. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, fraud, or liability under applicable mandatory consumer or product safety law. Nothing in this clause limits our responsibility for goods lost in transit as set out in the Shipping & Delivery Policy, where that responsibility applies.

Subject to the paragraph above, and to the fullest extent permitted by law, neither Monde Group, its group companies, nor our respective directors, officers, employees, affiliates, agents or service providers (nor Shopify) are liable for indirect, incidental, punitive, special or consequential loss, including lost profits or lost revenue, arising from your use of the Services, whether based in contract, tort or otherwise.

17. Indemnification

You agree to indemnify Monde Group, its group companies, Shopify and our respective affiliates from losses, damages, and reasonable legal costs arising from your breach of these Terms, violation of any law or third-party right, or your access to and use of the Services, including any breach of export/import compliance obligations under clause 6.

18. Severability, waiver, and entire agreement

If any provision is held unlawful or unenforceable, it will be enforced to the fullest extent permitted, the unenforceable portion severed, and the rest remains in force. Our failure to enforce a right is not a waiver. These Terms and the Policies they incorporate are the entire agreement between you and us, superseding prior versions.

19. Assignment

You may not assign these Terms without our written consent. We may assign or transfer these Terms and our rights and obligations, including in connection with a group reorganisation, without your consent.

20. Governing law and dispute resolution

These Terms are governed by the laws of Norway, and the courts of Norway have jurisdiction, save for (a) any non-excludable rights you may have under mandatory law of your own jurisdiction, and (b) the local-storefront carve-out described in the dedicated section near the end of these Terms.

21. Changes to these Terms

We may update these Terms at any time by posting the updated version on our website, and will notify you of material changes as required by applicable law. Continued use after changes are posted constitutes acceptance.

22. Local storefronts

In certain markets, in addition to the International storefront, we operate a local storefront. Local storefronts are open to both individual consumers ("B2C") and businesses ("B2B") by default — no application is required to shop as a consumer, though businesses may separately apply for a B2B account (clause 3) to access wholesale pricing and bulk-order terms. Local storefronts also offer a broader range of product categories than the International storefront, and simplified return terms compared to clause 6's final-sale rule for International orders — see our Returns & Refunds Policy for full details.

This section sets out the general terms applicable to any local storefront, together with the specific terms for each local storefront we currently operate, below. These terms take precedence over the general provisions elsewhere in these Terms to the extent of any inconsistency, for orders placed through the relevant local storefront. We may add further local storefronts, each with its own subsection below, as we expand into new markets.

22.1 Zambia

Local operations. In Zambia, certain functions — local sourcing, local fulfilment, in-country registration and regulatory compliance — are carried out through OPSANDO BUSINESS SOLUTIONS LIMITED (Business Registration No. 120261039572, TPIN 2004248361), a company incorporated in the Republic of Zambia and a member of the Monde Group group of companies. Your contract of sale remains with Monde Group.

Product range. The Zambia storefront offers a broader range of categories than the International storefront, including groceries, construction supplies, and other everyday goods, in addition to electronics, machinery and brand cosmetics. Some Zambia-storefront stock is sourced and held locally within Zambia ("Zambia Local Stock") and is visible only on the Zambia storefront and cannot be shipped internationally.

Returns. Both B2C and B2B buyers on the Zambia storefront may report an issue with any item — whether Zambia Local Stock or imported/exported stock — in accordance with the reporting windows and exclusions in our Returns & Refunds Policy. Zambia B2C consumers purchasing smartphones or computers also benefit from an extended 3-month functional-defect warranty, covering manufacturing and functional defects but not user-caused damage, unauthorised repairs, misuse, or battery degradation — see our Returns & Refunds Policy for full details.

Consumer rights. Nothing in these Terms excludes or limits any non-excludable right you have as a consumer under the Competition and Consumer Protection Act, 2010 (as amended) or other applicable Zambian law, where you are purchasing as a Zambia-based consumer. Where any provision conflicts with such a right, the law prevails. You may raise consumer concerns with the Competition and Consumer Protection Commission (CCPC).

Governing law carve-out. Notwithstanding clause 20, non-excludable Zambian consumer protection rights continue to apply to Zambia-based B2C consumers and are not overridden by the general choice of Norwegian law.
