Overview
Welcome to Opsando. In these Terms of Service, “we”, “Opsando”, "Opsando.com", “us” and “our” refer to OPSANDO BUSINESS SOLUTIONS LIMITED, a company incorporated in the Republic of Zambia. Opsando operates this store and website, including all related content, features, tools, products and services (the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with the policies they incorporate (these “Terms”), describe your rights and responsibilities when you use the Services. They include important information such as warranty disclaimers and limitations of liability, all read in line with Zambian law.
By visiting, interacting with or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you should not access or use the Services.
1. Access and account
You must be at least 18 years old, which is the age of majority in Zambia, to use the Services, open an account, make a purchase, or take part in an auction. By using the Services you confirm that you meet this requirement.
To use the Services you may be asked to provide information such as your name, email address, and billing, payment, delivery or collection details. You confirm that the information you provide is correct, current and complete, and that you have the rights necessary to provide it.
You are responsible for keeping your account credentials secure and for all activity under your account. You may not transfer, sell, assign or license your account to anyone else.
2. Our policies and how they fit together
These Terms are the master agreement between you and Opsando. They incorporate, by reference, the following policies, each of which applies to its own subject matter and forms part of your agreement with us:
- the Auction Buyer Terms, which govern bidding and buying in our auctions;
- the Returns & Refunds Policy;
- the Shipping & Delivery Policy; and
- the Privacy Policy.
Please read them. If there is any conflict between these general Terms and one of those policies on a matter that the policy specifically addresses, the specific policy controls. In particular, the Privacy Policy controls on the collection, processing and disclosure of personal information, and the Auction Buyer Terms control on auction-specific matters.
3. Our products
We make every effort to represent our products and services accurately. However, colours and appearance may differ from how they look on your screen depending on your device and its settings. We do not warrant that the appearance or quality of products will be the same as depicted, beyond your non-excludable consumer rights.
All product descriptions are subject to change at any time without notice at our discretion. We may discontinue any product and may limit the quantities we offer to any person, region or jurisdiction on a case-by-case basis.
We deal in general consumer goods and services. We do not currently offer real estate or land, motor vehicles, or heavy machinery through the Services.
Product sourcing. We source both new and used products from various sources, including retailers and private individuals, through physical stores and online platforms (including online auction sites and marketplaces). Our sourcing activities take place mainly in Norway, where we maintain operations, before products are exported to Zambia for sale. We carry out inspections to assess authenticity and condition prior to sale, and may refurbish, repair, clean, test or replace components to bring products to a sale-ready standard.
Apple authorisation disclaimer. We are not an authorised Apple retailer, reseller or representative and are not affiliated with Apple Inc. References to Apple and Apple products are for identification only, and all trademarks remain the property of their respective owners. Our team makes reasonable efforts to inspect products, which may include cross-checking serial numbers and other identifiers, but we do not guarantee verification to a manufacturer standard in every case. We may decline to list or sell any product where we cannot reasonably satisfy ourselves as to authenticity or condition.
4. Auctions
We may offer items for sale by online auction. Auctions are governed by our separate Auction Buyer Terms, which you accept when you take part in an auction and which set out how bidding works, the minimum Store Credit you must hold to bid, payment, collection and related matters. The Auction Buyer Terms apply in addition to these Terms and control on auction-specific matters.
5. Orders
When you place an order you are making an offer to purchase. We may accept or decline your order at our discretion, and your order is not accepted until we confirm acceptance; we must receive and process your payment before an order is accepted. Please review your order carefully before submitting it, as we may be unable to accommodate cancellation after acceptance. If we do not accept, change or cancel an order, we will try to notify you using the contact details you provided.
Your purchases are subject to return or exchange only in accordance with our Returns & Refunds Policy. You confirm that your purchases are for your own personal or household use and not for commercial resale or export, unless we agree otherwise in writing.
6. Prices and billing
Prices, discounts and promotions may change without notice. The price charged is the price in effect when the order is placed, as set out in your order confirmation. Unless stated otherwise, posted prices do not include taxes, shipping, handling, customs or import charges. Prices online may differ from those in physical stores or third-party stores.
You agree to provide current, complete and accurate purchase, payment and account information, and to keep it updated so we can complete your transactions and contact you. You confirm that the payment information you provide is true and correct, that you are authorised to use the payment method, and that you will pay all charges incurred at the posted prices, including shipping, handling and applicable taxes.
Store credit. We may sell store credit as a top-up product and may issue store credit as a refund or other remedy. Store credit is non-refundable and non-transferable: it cannot be exchanged back for cash, except where a cash refund is required by applicable consumer law, but it may be used towards any purchase from us, including to reduce the price of future orders. Where our auctions require you to hold a minimum store credit balance in order to bid, that balance remains your store credit and keeps its full value for your own use, except where a Default Fee applies under the Auction Buyer Terms because you won a Lot and did not pay for it.
7. Shipping and delivery
Delivery and collection are covered by our Shipping & Delivery Policy. Delivery times are estimates only and are not guaranteed, and we are not responsible for delays caused by carriers, customs processing or events beyond our reasonable control.
Risk in your order passes to you on delivery or, if you collect, on collection. Goods lost in transit before they reach you are our responsibility, as set out in the Shipping & Delivery Policy and clause 10.6 of the Auction Buyer Terms. This does not affect your non-excludable consumer rights.
8. Intellectual property
The Services, including all trademarks, brands, text, displays, images, graphics, reviews, video and audio, and their design, selection and arrangement, are owned by Opsando, its affiliates or licensors and are protected by Zambian and other applicable intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store or transmit any material on the Services without our prior written consent. Unauthorised use may breach applicable intellectual property laws. All rights not expressly granted are reserved.
Opsando’s names, logos, product and service names, designs and slogans are trademarks of Opsando or its licensors and may not be used without our prior written permission. Shopify’s marks are trademarks of Shopify. All other marks are the property of their respective owners.
9. Optional tools
You may be given access to third-party tools that we neither monitor nor control. We provide access to such tools “as is” and “as available” without warranties or endorsement, and we have no liability arising from your use of them. Use of optional third-party tools is at your own risk, and you should review the relevant third party’s terms. New features added in future form part of the Services and are subject to these Terms.
10. Third-party links
The Services may contain links to third-party websites or materials. We are not responsible for examining or evaluating their content or accuracy, and we are not liable for any harm related to your use of third-party sites or your purchase of third-party products or services. Review the third party’s policies before transacting, and direct complaints about third-party products or services to that third party.
11. Relationship with Shopify
Opsando is powered by Shopify, but any sale or purchase you make in our store is made directly with Opsando. You agree that Shopify is not responsible for any aspect of a sale between you and Opsando, including any injury, damage or loss from products or services, and you release Shopify and its affiliates from claims arising from your transactions with Opsando.
12. Privacy
Personal information we collect through the Services is handled in accordance with our Privacy Policy, and certain information may also be subject to Shopify’s privacy policy. Because the Services are hosted by Shopify, information you submit may be transmitted to and processed by Shopify and other providers that may be located outside Zambia, as explained in our Privacy Policy. By using the Services, you acknowledge that you have read our Privacy Policy.
13. Feedback
If you submit ideas, suggestions, reviews or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it for any purpose, including commercial use and to operate and promote the Services. You confirm that you own or have the rights to your Feedback, have disclosed any incentives received for it, and that it complies with these Terms. We are not obliged to keep Feedback confidential, pay for it, or respond to it.
Your Feedback must not violate any third party’s rights, be unlawful, abusive, defamatory or obscene, or contain malware. You must not misrepresent your identity or the origin of Feedback. You are solely responsible for your Feedback, and we may (but need not) monitor, edit or remove Feedback we consider objectionable or in breach of these Terms.
14. Errors, inaccuracies and omissions
The Services may occasionally contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, charges, transit times or availability. We may correct any such errors and change or update information, or cancel orders, at any time without prior notice, including after you have submitted your order.
15. Prohibited uses
You may use the Services for lawful purposes only. You may not use the Services, directly or indirectly: for any unlawful or malicious purpose; to violate any applicable laws or regulations; to infringe anyone’s intellectual property rights; to harass, abuse, harm or defame any person; to transmit false or misleading information; to send spam or unsolicited promotional material; to impersonate any person or entity; or to restrict or inhibit anyone’s use of the Services or otherwise expose Opsando, Shopify or users to harm or liability.
You also agree not to: upload viruses or malicious code; reproduce, duplicate, copy, sell or resell any part of the Services; collect or track others’ personal information; spam, phish, pharm, pretext, spider, crawl or scrape; or interfere with or circumvent the security of the Services. We may suspend, disable or terminate your account if we determine you have breached these Terms.
16. Your consumer rights
Nothing in these Terms excludes or limits any right you have under the Competition and Consumer Protection Act, 2010 (as amended) or other applicable Zambian law that cannot lawfully be excluded. Where any provision of these Terms conflicts with such a right, the law prevails. You may raise consumer concerns with the Competition and Consumer Protection Commission (CCPC).
17. Termination
We may terminate this agreement or your access to the Services at our discretion at any time, and you will remain liable for all amounts due up to termination. The following survive termination: Our policies and how they fit together, Intellectual property, Feedback, Your consumer rights, Termination, Disclaimer of warranties, Limitation of liability, Indemnification, Severability, Waiver and entire agreement, Assignment, Governing law, Privacy, and any other provision that by its nature should survive.
18. Disclaimer of warranties
Information on the Services is provided for general information only, and we do not warrant its accuracy, completeness or usefulness; reliance on it is at your own risk.
Except as expressly stated by Opsando, the Services and all products offered through them are provided on an “as is” and “as available” basis, without representations, warranties or conditions of any kind, express or implied, including implied warranties of merchantability, quality, fitness for a particular purpose, durability, title and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure or error-free. Nothing in this section excludes or limits your non-excludable rights under Zambian consumer law, which apply regardless of this disclaimer.
19. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, for fraud, or under the Competition and Consumer Protection Act, 2010 (as amended). Nothing in this section limits our responsibility for goods lost in transit as set out in the Shipping & Delivery Policy.
Subject to the paragraph above, to the fullest extent permitted by law, neither Opsando nor its directors, officers, employees, affiliates, agents, contractors, service providers or licensors (nor those of Shopify) are liable for any indirect, incidental, punitive, special or consequential loss, including lost profits, lost revenue, lost savings, loss of data or replacement costs, arising from your use of the Services or any product obtained through them, whether based in contract, tort (including negligence) or otherwise, even if advised of the possibility.
20. Indemnification
You agree to indemnify and hold harmless Opsando, Shopify and our affiliates, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal costs, payable to a third party arising out of: your breach of these Terms or the documents they incorporate; your violation of any law or any third party’s rights; or your access to and use of the Services.
We will notify you of any indemnifiable claim (a failure to notify promptly will not relieve you of your obligations except to the extent you are materially prejudiced). We may control the defence and settlement at your expense but will not settle a claim imposing non-monetary obligations on you without your consent, not to be unreasonably withheld. You will cooperate in the defence.
21. Severability
If any provision of these Terms is held unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law, the unenforceable portion will be severed, and the remaining provisions will continue in full force.
22. Waiver and entire agreement
Our failure to exercise or enforce any right or provision of these Terms is not a waiver of it. These Terms, together with the policies they incorporate and any operating rules we post, are the entire agreement between you and us regarding the Services, superseding any prior agreements, including earlier versions of these Terms. Ambiguities will not be construed against the drafting party.
23. Assignment
You may not delegate, transfer or assign these Terms or your rights or obligations under them without our prior written consent, and any attempt to do so is void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or notice.
24. Governing law and dispute resolution
These Terms, and any Services we provide, are governed by and construed in accordance with the laws of the Republic of Zambia, and the courts of Zambia have jurisdiction. This does not affect any non-excludable right you have to bring a complaint before the Competition and Consumer Protection Commission, the Office of the Data Protection Commissioner, or another body with jurisdiction.
25. Headings
Headings are for convenience only and do not affect the interpretation of these Terms.
26. Changes to these Terms
You can review the most current version of these Terms on this page at any time. We may update, change or replace any part of these Terms by posting the updated version on our website, and we will notify you of material changes in accordance with applicable law. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
